Shareholder resolution
A decision of a BV's general meeting of shareholders, for example to adopt the annual accounts or pay dividend. If you are the sole shareholder, you take the decision alone and record it in writing.
Important decisions of a BV rest with the shareholders: adopting the annual accounts, a profit distribution, appointing or dismissing directors and amending the articles of association.
A resolution can be adopted at a meeting or in writing outside a meeting. Record every resolution, with the date. In an audit or a dispute, that is your evidence.
